MODEL RELEASE

[You must include two (2) forms of identification issued by one or more governmental agencies must be provided. At least one identification document provided must be a clear and reproducible photographic identification. All stage names, aliases and other names previously used must be provided where indicated.]

[You must also print on one (1) photograph, sign it, and staple it to this Model Release: “I hereby certify that the images submitted with this Model Release are (a) images of me and (b) that I was at least 18 years of age when the photos were taken. Signed_____________.”]

1. For and in consideration of marketing and distribution (see producer agreement), and for other good and valuable consideration, the receipt and sufficiency of which I, the undersigned do hereby acknowledge, I hereby forever assign, transfer and convey in perpetuity to MP Productions (Mother Phucker Productions/Underground Internet Company), their representatives, successors, assigns, licensees, those acting with its permission, and anyone lawfully deriving authority from MP Productions, together with their respective agents and employees, and any publisher who may hereafter publish and exhibit the Material (as defined below), (hereinafter collectively referred to as "MP Productions"), the non-exclusive, absolute and irrevocable ownership of all rights in, to and under the Material, including, without limitation all intellectual property rights and all future-created rights, together with the exclusive permission to use, reuse, publish, republish, broadcast, exhibit, display, print, and reprint in advertising, publicity or promotional material, magazines, newspapers, books, web sites (whether free or pay sites), CD-ROM compilations, and in any and all other media, whether now in existence or hereafter devised, throughout the world without any exclusions or restrictions and to file any and all copyright or other registrations evidencing ownership of the Material by MP Productions.

2. Under the terms and conditions of this Model Release, the term "Material" shall be defined as the photographs, negatives, slides, scanned images (in any format), film recordings, video recordings, audio recordings, audiovisual recordings, digital samples and/or other fixations of me, my name, likeness, voice, persona, and/or biographical data, or any and all other fixations of images and/or sound (however recorded, stored or transmitted) whether in whole or in part, received with this Model Release, or derived therefrom.

3. I hereby waive any and all right to inspect or to approve the Material, any derivatives or modifications of the Material, or the editorial or advertising copy or any other printed matter that may be used by MP Productions in conjunction therewith, and further waive any and all claims that I may have with respect to the eventual use to which it may be applied. The Material may be used in any manner, at the absolute and sole discretion of MP Productions, alone or in conjunction with any other material of any kind or nature. The Material may be modified or altered at MP Productions's sole discretion, and I hereby waive all of my rights of approval or objection relating to any such modification or alteration. I hereby expressly and forever waive my so-called "droit moral" or moral rights of authors, or any similar rights which may be conveyed under any applicable federal, state, or international law. Nothing herein shall require anyone to actually use the Material.

4. MP Productions is hereby granted all rights to use my actual name (or fictitious name and/or biography), in MP Productions's sole discretion, with any and all uses of the Material unless I specifically request that my actual name shall not be so used by initialing here ______,  which shall not limit MP Productions's right to use a fictitious name or no name in conjunction with any or all the Material. I hereby grant to MP Productions the unlimited, non-exclusive and fully transferable rights to use my name (unless I have made the election above limiting the MP Productions's use of my actual name), a fictitious name (and/or fictitious or real biography), likeness, voice and persona on or in connection with any and all uses of the Material, and any and all derivations, modifications and recreations of the Material, including virtual, synthespian and other synthetic creations, notwithstanding any trademark or service mark rights which I currently have or may obtain in the future with respect to my name, likeness, voice or persona. I hereby grant to MP Productions the first right, but not the obligation, to enforce any and all trademark and service mark rights granted to MP Productions herein against any third party and waive any liability of the MP Productions for any use of my name, likeness, voice and persona regardless of whether any such uses by the MP Productions would constitute infringements or any diminution of, or would otherwise involve, my rights of privacy, publicity, personal property , trademark rights, service mark rights and/or merchandising rights.

5. I hereby release, discharge and agree to indemnify and hold MP Productions harmless from and against any and all claim or liability in connection with the use of the Material, even should the same subject me to ridicule, scandal, reproach, scorn or indignity, and from any claim or liability as a result of any distortion, blurring or
alteration, optical illusion digital modification, computer synthesis, computer morphing, or use in whole or in part composite form, error, omission, misstatement, whether intentionally or otherwise, that may occur by processing or reproduction of the finished product, or by its publication or distribution, including, without limitation, any claims for libel, slander, defamation, misrepresentation, false light, invasion of privacy, negligence, breach of confidence, false advertising and unfair competition. Without limiting the forgoing, the Material may be used in conjunction with any other material, including, without limitation, sexually explicit material.

6. I hereby represent and warrant that I am eighteen (18) years of age or older, and that I was eighteen (18) years of age or older at the time the Material (and each and every part of the Material) was recorded (ie. that I was at least 18 years of age when each photograph was taken).

7. I further represent and warrant that I have provided two (2) valid and correct current identification documents with this Model Release, and that a true accurate photocopy of each identification document is attached to this Model Release.

8. I further represent that the following is every name, other than my present and correct name (which appears below), that I have ever used (including maiden name,
alias, nickname, stage or professional name):

9. I further represent and warrant that I have read this Model Release prior to signing it. I have not been induced to signing the same, other than by the recited consideration, by any representation or statement made by or anyone acting on MP Productions's behalf. I understand and agree that the representations contained in this Model Release were relied upon by MP Productions and constitute a material inducement to MP Productions to pay me the consideration as set forth above. I understand that without these representations, MP Productions would not have acquired the Material from me.

10. This Model Release is entered into in the State of Texas, shall be construed in accordance with and governed by the laws of the State of Texas and the United States. This Model Release may be amended, discharged, modified or terminated only by written agreement by MP Productions. This Model Release contains the entire agreement of the parties and any representation, warranties, promises, or agreements or otherwise, between the parties not included, shall be of no force and effect. If any provision of this Model Release or application of it to any person or circumstance shall to any extent be invalid, the remainder of this Model Release or the application of any provision to persons or circumstances other than those to which it is held invalid shall not be affected and each provision of this Model Release shall be valid and enforceable to the fullest extent permitted by law. I agree that in the event that any legal action becomes necessary to enforce or interpret the terms of this Model Release, the prevailing party shall be entitled, in addition to its court costs, to such reasonable attorney's fees as shall be fixed by a court of competent jurisdiction. I have read this entire agreement , prior to its execution, and I am fully familiar with the contents thereof. This Model Release may be a confirmation of a preexisting oral contract embodying the terms contained herein regardless of the time that this written confirmation is signed by me. This Model Release shall be binding upon me and my heirs, legal representatives, and assigns. The various descriptions of recordation of the Material used herein are by way of illustration only and are not to be construed as limitations.

11. All questions, disputes, controversies, or claims arising out of this Model Release or the breach thereof shall be settled by arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association, and judgment upon the award rendered by the arbitrator(s) may be entered in any court having jurisdiction. The prevailing party in such arbitration shall be entitled to recover the costs of arbitration and its reasonable attorneys' fees (whether incurred before or after the decision of the arbitrator) from the losing party.
