Upon the purchase of any adult entertainment materials defined on any medium in analog or digital formats known and unknown, the Producer commits in full to the following AGREEMENT with Underground Internet Company. (hereinafter "UIC").

In agreement and acceptance of all terms listed below, on the date of __________________________, the Producer delivers all materials for publishing by Underground Internet Company. In consideration, UIC agrees to pay the Producer, provided all terms and conditions have been fully satisfied, an amount totaling  60% of all revenue derived from the sale of material

This agreement shall not constitute any partner relationship or imply any relationship beyond the transaction of this Agreement. The independent Producer acts as a merchant and UIC its customer.

The Producer agrees to the following:
All models shall be eighteen years of age or older and all documentation verifying age and consent must be delivered to UIC. Photocopies are acceptable but must be clearly legible and not altered in any manner.

UIC shall receive Masters, as in the original production formed on the original medium of its presentation, also known as "Raw Footage" in the case of moving pictures and "negatives" or "originals" for still photography. Any amendments of this provision must be in writing and signed by both parties.

All rights of ownership and publishing on any medium in any format, digital and, or analog, shall be transferred/licensed non-exclusively to UIC Any amendments must be in writing and signed by both parties. Retroactively, receipt of payment of any and all previous productions will be considered binding and determined by the terms of this contract.

All sales or licensing of content by the Producer to UIC are final. The terms are complete. UIC thereafter assumes all publishing and copyrights of the material.

In the event of a dispute, both parties agree to settle by arbitration appointed by a court in the location of UIC's choosing.

The Producer agrees to obey all laws governing their productions and assumes any and all responsibility for behavior and acts committed at the time of production.

Upon purchase/licensing, UIC reserves all rights to credits and titling. UIC shall be exclusive owner of any trade names or aliases developed in conjunction with the Producer's content sold to UIC. Any amendment to this provision must be in writing and signed by both parties.

The sale price, accepted by the Producer, documented by a signed check or money wire transfer in the agreed upon amount by UIC and the Producer, is final. There is no renewal or further remittance or bonus due to the Producer.

Upon acceptance of these terms, and delivery of all materials to UIC, the contract is valid.
